Terms of service
Effective date: March 2, 2026
1. DEFINITIONS
“Agreement” means these Terms of Service, together with any applicable Master Services Agreement (“MSA”), Order Form, Statement of Work, Business Associate Agreement, or other written agreement between Practice with Joy and a Practice Client.
“Practice Client” means the medical practice, healthcare provider organization, or other professional entity that contracts with Practice with Joy for the Services.
“Patient User” means any individual who accesses or interacts with the Platform in connection with receiving or seeking healthcare services from a Practice Client.
“Services” means, collectively, the Consulting Services, Marketing Platform, and Healthcare Platform provided by Practice with Joy, as further described in Section 2.
“Healthcare Platform” means Practice with Joy’s integrated clinical and administrative technology platform, including but not limited to electronic medical records (EMR), patient portal, intake and registration, self-scheduling and appointment booking, telehealth, patient communications, billing, and post-visit engagement tools.
“Marketing Platform” means Practice with Joy’s website generation, search engine optimization, digital advertising, and other marketing technology services provided to Practice Clients, including patient-facing features such as contact forms embedded on Practice Client websites.
“Consulting Services” means Practice with Joy’s consulting, advisory, and launch services related to the establishment and operation of private medical practices.
“Protected Health Information” or “PHI” has the meaning set forth in 45 C.F.R. § 160.103, as amended from time to time.
“Platform” means the Practice with Joy website, applications, and technology systems through which the Services are delivered.
“Telehealth Services” means video-based clinical encounters conducted through the Healthcare Platform between a Patient User and a Practice Client’s licensed healthcare professional.
2. DESCRIPTION OF SERVICES
2.1 Consulting Services
Practice with Joy provides consulting and advisory services to assist Practice Clients in launching and operating private medical practices. Consulting Services are provided pursuant to the applicable MSA and any related Statements of Work. Consulting Services do not generally involve the creation, receipt, maintenance, or transmission of PHI.
2.2 Marketing Platform
Practice with Joy provides website generation, digital marketing, and marketing technology services to help Practice Clients attract and retain patients.
HIPAA Applicability: Information submitted by prospective or current patients through contact forms on Practice Client websites may constitute PHI under HIPAA, as it may relate to an individual’s request for healthcare services. Accordingly, the Marketing Platform’s patient-facing data collection features are subject to the HIPAA compliance provisions set forth in Section 8 and the applicable Business Associate Agreement. Other aspects of the Marketing Platform (such as general website content management and SEO) do not generally involve PHI.
2.3 Healthcare Platform
Practice with Joy provides an integrated clinical and administrative technology platform that supports the full lifecycle of patient care, from scheduling and intake through clinical documentation, communications, billing, and post-visit engagement. The Healthcare Platform involves the creation, receipt, maintenance, and transmission of PHI, and its use is subject to the HIPAA compliance provisions set forth in Section 8 and the applicable Business Associate Agreement.
2.4 Practice with Joy Is a Technology Provider, Not a Healthcare Provider
Patient Users acknowledge and agree that Practice with Joy is a technology services provider and not a healthcare provider. Practice with Joy operates as a Business Associate under HIPAA, providing technology services on behalf of Practice Clients, who are the Covered Entities responsible for the delivery of healthcare. All clinical decisions, medical advice, diagnoses, and treatment are the sole responsibility of the Practice Client and its licensed healthcare professionals. Practice with Joy does not practice medicine, provide medical advice, or make clinical recommendations. Any information displayed through the Platform is provided by or on behalf of the Practice Client and does not constitute medical advice from Practice with Joy.
3. APPLICABILITY AND ACCEPTANCE
3.1 Practice Clients
Practice Clients access and use the Services pursuant to a Master Services Agreement (“MSA”) and any applicable Order Forms, Statements of Work, or other written agreements executed between the Practice Client and Practice with Joy. These Terms of Service establish baseline terms that apply to all users of the Platform. To the extent a Practice Client has executed an MSA, the MSA governs the Practice Client’s use of the Services.
Order of Precedence. In the event of a conflict between documents, the following order of precedence shall apply: (1) the Business Associate Agreement; (2) the MSA and any applicable Order Forms or Statements of Work; (3) these Terms of Service.
3.2 Patient Users
Patient Users who access the Platform in connection with receiving or seeking care from a Practice Client agree to be bound by the applicable provisions of these Terms of Service. By accessing or using the Platform, Patient Users accept these terms. If a Patient User does not agree, they should contact their healthcare provider to discuss alternative arrangements.
3.3 Eligibility
The Platform is intended for use by individuals who are at least 18 years of age. Patient Users under the age of 18 may access the Platform only with the involvement and consent of a parent or legal guardian. Practice Clients are responsible for ensuring appropriate parental or guardian consent is obtained as required by applicable law, including COPPA where applicable.
4. PERMITTED USE AND RESTRICTIONS
4.1 Permitted Use
You may use the Platform and Services only for their intended purposes and in accordance with this Agreement. Practice Clients may use the Services for the operation and management of their medical practice. Patient Users may use the Platform to interact with their healthcare provider and engage in patient-facing functions made available through the Healthcare Platform and Marketing Platform.
4.2 Prohibited Activities
You agree not to: (a) use the Platform or Services for any unlawful purpose; (b) upload or distribute viruses, malware, or other harmful code; (c) attempt to gain unauthorized access to any part of the Platform or its systems; (d) interfere with or disrupt the Platform or the experience of other users; (e) post harmful, offensive, or inappropriate content; (f) use the Services in any manner that violates applicable healthcare privacy laws, including HIPAA; (g) record, capture, or redistribute any telehealth session without the express consent of all participants; or (h) misuse the Services for any purpose other than their intended use.
5. GOOGLE WORKSPACE INTEGRATION
The Healthcare Platform may integrate with a Practice Client’s Google Workspace Gmail account to enable message ingestion and response capabilities within the EMR. By authorizing Google access, the Practice Client grants Practice with Joy the ability to read incoming Gmail messages and send email responses on behalf of the Practice Client, solely for the purpose of supporting clinical communication workflows within the EMR.
This integration is enabled only with the Practice Client’s explicit consent. Google access may be revoked at any time through the Practice Client’s Google account settings. Practice with Joy’s use of Google user data complies with the Google API Services User Data Policy, including the Limited Use requirements. The Google Workspace integration accesses only Gmail message data. It does not access Google Contacts, Google Calendar, Google Drive, or any other Google services unless separately disclosed and authorized.
6. INTELLECTUAL PROPERTY
6.1 Practice with Joy Ownership
All content on the Platform, including text, images, logos, designs, software, and documentation, is the property of Practice with Joy or its licensors and is protected by applicable intellectual property laws.
6.2 Limited License to Practice Clients
Subject to the terms of this Agreement, Practice with Joy grants Practice Clients a limited, non-exclusive, non-transferable, and revocable license to access and use the Services during the term of the applicable MSA, solely for the Practice Client’s internal business purposes in operating their medical practice.
6.3 Limited License to Patient Users
Patient Users are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the patient-facing portions of the Platform solely for the purpose of interacting with their healthcare provider and engaging in related patient activities. Patient Users may not reproduce, modify, or distribute any content from the Platform without prior written consent from Practice with Joy.
6.4 Practice Client Content
Practice Clients retain ownership of all content they upload or create through the Platform, including patient records, practice information, and marketing content. Practice Clients grant Practice with Joy a limited license to use such content solely as necessary to provide the Services.
7. DISCLAIMERS
7.1 Platform Accuracy
While Practice with Joy strives to ensure that the Platform and Services function accurately and reliably, we do not warrant that the Platform will be error-free, uninterrupted, or free of harmful components. The Platform and Services are provided on an “as is” and “as available” basis to the extent permitted by applicable law.
7.2 No Medical Advice
Practice with Joy is a technology services provider, not a healthcare provider. No content on the Platform or provided through the Services — including information displayed during telehealth sessions or through the patient portal — constitutes medical advice, diagnosis, or treatment by Practice with Joy. All clinical services are provided by the Practice Client and its licensed healthcare professionals. Patient Users should direct all medical questions and concerns to their healthcare provider.
7.3 Third-Party Services
The Platform may integrate with or contain links to third-party services, including Google Workspace, payment processors, and video conferencing infrastructure. Practice with Joy is not responsible for the availability, accuracy, or content of third-party services, and your use of such services is subject to their respective terms and conditions.
8. HIPAA COMPLIANCE AND BUSINESS ASSOCIATE AGREEMENTS
8.1 Business Associate Obligations
To the extent that Practice with Joy creates, receives, maintains, or transmits PHI on behalf of a Practice Client, Practice with Joy acts as a Business Associate under HIPAA. Practice with Joy will enter into a Business Associate Agreement (“BAA”) with each Practice Client as part of the MSA execution process prior to the Practice Client’s use of the Healthcare Platform in connection with PHI. Use of the Healthcare Platform for purposes involving PHI is conditioned upon execution of a BAA.
8.2 Scope of HIPAA Applicability
The HIPAA compliance obligations described herein and in the applicable BAA apply to: (a) the Healthcare Platform in its entirety; (b) patient-facing data collection features of the Marketing Platform (such as contact forms on Practice Client websites), to the extent they collect information relating to an individual’s request for healthcare services; and (c) any other service component that involves the creation, receipt, maintenance, or transmission of PHI.
The Consulting Services and general marketing features of the Marketing Platform (such as website content management, SEO, and digital advertising that does not collect patient information) are not subject to the BAA, unless a Practice Client and Practice with Joy expressly agree otherwise in writing.
8.3 Security Safeguards
Practice with Joy implements administrative, physical, and technical safeguards designed to protect PHI in accordance with the HIPAA Security Rule, including encryption of data at rest and in transit, access controls and authentication mechanisms, audit logging and monitoring, and workforce training. Additional details regarding security practices are available upon request.
9. VISIT EXPERIENCE SURVEYS
9.1 Overview
Practice with Joy may invite Patient Users, on behalf of a Practice Client, to participate in a brief Visit Experience Survey following a healthcare visit (including telehealth visits). Survey participation is entirely voluntary, and declining to participate will have no impact on the Patient User’s care, treatment, or access to services.
9.2 Consent
Patient User consent to receive Visit Experience Surveys and to the collection and use of survey data is obtained as part of the consent forms signed during the Practice Client’s intake process. Completion of any individual survey remains voluntary.
9.3 HIPAA Treatment of Survey Data
Because survey responses are linked to the Patient User’s identity and visit, survey data is treated as PHI and is handled in accordance with applicable HIPAA requirements, including the Privacy and Security Rules. Patient User rights regarding PHI, including the right to access and request amendment, are described in the Practice Client’s Notice of Privacy Practices.
9.4 Communications Consent and Opt-Out
By providing a phone number and/or email address during the intake process, Patient Users consent to receiving Visit Experience Survey requests via SMS and/or email.
SMS: Message and data rates may apply. Message frequency varies. Reply STOP to any message to opt out. Reply HELP for assistance. SMS survey requests are subject to our Privacy Policy and the terms of your wireless carrier.
Email: Click the “Unsubscribe” link in any survey email to opt out.
We will process all opt-out requests promptly. Opting out of survey communications will not affect access to care or services.
9.5 Data Retention
Individual survey responses are retained for up to one (1) year from the date of collection. Aggregated, de-identified data may be retained indefinitely for quality improvement and operational analytics purposes.
9.6 Google Reviews
Following survey completion, a Patient User may be given the option to post a review on Google. Patient Users acknowledge and agree that: (a) Google Reviews are public and visible to anyone on the internet; (b) once posted, the review is subject to Google’s Terms of Service and Privacy Policy; (c) Practice with Joy does not control the content, visibility, editing, or removal of Google Reviews; (d) the Patient User is solely responsible for the content of any review they post; and
(e) Patient Users should not include any PHI, medical details, or other sensitive personal information in a Google Review. Posting such information is done entirely at the Patient User’s own risk.
Practice with Joy is not responsible for any personal or health information a Patient User chooses to disclose publicly on third-party platforms. Practice with Joy may, but is not obligated to, flag reviews containing apparent PHI to Google for removal.
12. DISPUTE RESOLUTION
12.1 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles.
13. MODIFICATIONS TO TERMS
Practice with Joy reserves the right to modify these Terms of Service at any time. Non-material changes will be effective upon posting to the Platform. For material changes, Practice with Joy will provide Practice Clients with at least thirty (30) days’ prior written notice (via email or Platform notification) before the changes take effect. A Practice Client’s continued use of the Services after the effective date of any modification constitutes acceptance of the modified terms. If a Practice Client does not agree to a material modification, the Practice Client may terminate in accordance with the terms of its MSA.
For Patient Users, changes to these Terms of Service will be effective upon posting to the Platform. Continued use of the Platform following the posting of changes constitutes acceptance of those changes.
